Demo Directory - Founder Terms and Conditions
Thank you for your interest in showcasing your company on our Demo Directory (the Directory).
These terms and conditions cover your application to join, and participate in if selected, the Directory (Terms).
By submitting your Application Form to us to appear in the Directory, you (as a Participant) are agreeing to these Terms with Barclays Bank UK PLC (we, us, our).
If you are a member of Barclays’ Eagle Labs, these Terms are in addition to your Eagle Labs membership terms.

1 - Criteria to participate in the Directory
To participate in the Directory, you must (i) be over 18 years old; (ii) be based in the UK; (iii) be authorised to participate on behalf of the business to be featured in the Directory, and (iv) have been informed in writing by Barclays that you have been accepted on to the Directory.
2 - The Directory
Applications
2.1 We will assess all applications to participate in the Directory following completion of the Application Form on this website and you will be notified by email if you have been selected to participate in the Directory, including any instructions in relation to the creation of your Directory Listing.
2.2 If you are unsuccessful, we will inform you by email; but we will be under no obligation to explain why you have been unsuccessful.
Your Directory Listing
2.3 We will use the information provided by you in the Application Form to create your written Directory Listing. If you are selected to participate in the Directory, you may also wish to provide us with video presentation of your business to be included in your Directory Listing.
2.4 No confidential or commercially sensitive information will be disclosed by You within any Directory listing content, or as part of these Terms.
2.5 Your Directory Listing must comply with the Demo Directory Founder Guidelines. You acknowledge that you are fully responsible for the content in your Directory Listing, and meeting the requirements set out in the Founder Guidelines.
2.6 Any information contained in your Directory Listing, such as financial information, should be a wholly accurate and a fair reflection of your business. The information should also be presented in a clear manner and should not be misleading.
2.7 Once provided, any information provided by you may be published in your Directory Listing by us. If you do not want such information to be made available in this way, you must not share it with us.
2.8 If Barclays considers that your Directory Listing does not comply with the Founder Guidelines, we can remove the Directory Listing from the Directory.
2.9 You acknowledge that Barclays is not holding itself out as an “approver” of any financial promotions you make, and you are aware that we will not monitor your compliance with any applicable rules in this regard.
Our use of your Directory Listing
2.10 We may make your Directory Listing available on the Directory, at our sole discretion.
2.11 You grant to Barclays a non-exclusive, worldwide, revocable, royalty-free, sub-licensable licence, to use all Intellectual Property Rights in (i) your Directory Listing for use on the Directory, and (ii) Your business name and logos where required for the purposes of your appearance in the Directory.
3 - Restrictions
3.1 You will not make any announcements in connection with the Directory or your Directory Listing.
3.2 Nothing in these Terms shall in any way grant any rights of use or ownership in Barclays’ Intellectual Property Rights to the Participant unless the Participant is informed of any such rights in writing.
3.3 You will not: (a) alter any materials containing Barclays’ Intellectual Property Rights or (b) infringe the Intellectual Property Rights or any other rights of any third party.
4 - Data Privacy
4.1 Each party shall comply with all Data Protection Legislation including (where applicable) by maintaining any valid and up-to-date registration or notifications required under the Data Protection Legislation.
4.2 Notwithstanding anything else in these Terms, you will only provide us with personal data related to another individual if you have obtained their written consent to do so and have provided them with a link to our privacy policy (https://labs.uk.barclays/privacy-policy). You will not otherwise provide any personal information relating to another identified or identifiable individual as part of your participation in the Directory.
4.3 To the extent that we collect personal data as part of the Directory, we will only collect and process such personal data as required for the purposes of your Directory Listing.

4.5 As part of your listing on the Directory, Barclays will gather Feedback on (and generate Insights from) your involvement in the Directory. Notwithstanding the foregoing, you agree that all rights, titles and interests in any Intellectual Property Rights in any Feedback or Insights (not including any background Intellectual Property Rights relating to your business) will be owned by, and vest absolutely in, Barclays. You also agree that we can use your Feedback and Insights to further develop and modify our products and services in the future.
5 - No warranty and disclaimers
5.1 To the fullest extent permissible by law, no member of the Barclays group makes any warranty, representation, or undertaking, express or implied, as to your participation in the Directory or any information or materials provided (in writing or otherwise) in connection with the same, including any implied warranties of design, merchantability and fitness for a particular purpose.
5.2 Nothing provided by Barclays in connection with your participation in the Directory should be considered investment, legal or tax advice, and you should always seek independent advice in these regards.
5.3 Nothing in these Terms, your participation in the Directory, or any advice given by any member of the Barclays’ group shall establish a fiduciary relationship or joint enterprise between you and any member of the Barclays’ group.
6 - Liability
6.1 Neither party excludes its liability where it is unlawful to do so, for example death or personal injury caused by negligence or fraud.
6.2 Neither party will be liable to the other party for any indirect or consequential loss or damages (including any indirect loss of business, revenues, goodwill or profits) arising out of or in connection with these Terms, in each case whether arising from tort (including negligence), breach of contract or otherwise.
6.3 We shall not be responsible to you for any loss suffered by you, where you have breached these Terms. For any other loss, other than as set out in paragraphs 6.1 and 6.2, our maximum aggregate liability to you in connection with these Terms will not exceed £100.
6.4 In making your Directory Listing available, you acknowledge that we shall not be responsible for, or liable to you, for your compliance with any relevant laws or regulations which may apply to you.
6.5 Save as expressly set out in this paragraph 6, we shall not be liable to you for any losses arising out of your participation in the Directory.
7 - Sanctions
You confirm that neither you nor your company are: (i) targets of Sanctions, (ii) not located, domiciled, or incorporated in any Sanctioned Country, Belarus or Russia; (iii) not, have not, and will not undertake any activities relating to Sanctioned Countries, Belarus or Russia; or (iv) under investigation or proceedings relating to breaches of Sanctions.
8 - Term & Termination
8.1 These Terms shall commence on submission of your Application Form and continue for the Term.
8.2 We reserve the right to cancel your participation in the Directory for any reason at any time and without prior notice.
8.3 You can stop your participation in the Directory at any time by giving written notice to us, following which we will remove your Directory Listing from any live listing areas, as soon as practicable.
8.4 On termination of these Terms for whatever reason paragraph 3,4,5,6,8.4,9 and 10 in these Terms shall continue in full force and effect thereafter along with any other clause that contemplates performance, application or observance following termination of these Terms.
9 - Definitions
9.1 In these Terms:
Application Form means the electronic form on this website to be complete by all Directory applicants;
Confidential Information means in relation to either party to these Terms any and all information in whatever form (including personal data), whether in oral, tangible or in documented form, that (i) is by its nature confidential; or (ii) the other party knows or ought to know is confidential; or (iii) is designated by a party as confidential, and is disclosed to or otherwise learnt, acquired or developed by the other party in connection with these Terms;
Data Protection Legislation means the EU General Data Protection Regulation 2016/679, the EU Directive on Privacy and Electronic Communications 2002/58/EC, Commission decisions and guidance and all national implementing legislation, and all other applicable laws and regulations relating to data protection and privacy in any jurisdiction in which the Deliverables and/or Services are being provided or the personal data is being processed where personal data, process and data controller have the meanings given to them by the Data Protection Legislation;
Directory means the collection of information related to selected businesses (including your Directory Listing), to be made available on certain Eagle Labs channels (including email distribution lists and its website);
Directory Listing means the featured listing of your business in the Directory;
Feedback means your feedback on your participation in the Directory including any ideas, innovations, solutions and improvements for our products and services, which may be gathered in person, in writing or via digital channels;
Insights means information, data and other insights gathered by Barclays from your participation in the Directory;
Intellectual Property Rights means copyright, trade marks, rights in inventions, patents, rights in and to confidential information (including trade secrets and know-how) and all other intellectual property rights, in each case subsisting at any time in any part of the world; and
Sanctions means any law, regulation, executive order, embargo, restrictive measure or other enabling legislation of any kind relating to trade, economic or financial sanctions, imposed, enacted, administered or enforced by a Sanctions Authority
Sanctions Authority means each of the United Nations, the European Union, the Federal Republic of Germany, the United Kingdom of Great Britain and Northern Ireland or the United States of America.
Sanctioned Country means any country, region or territory that is, or whose government is, the subject of country-wide, region-wide or territory-wide Sanctions including for the purposes of this agreement the Crimea, Cuba, the Democratic People's Republic of Korea (North Korea), Iran, Syria and the so-called People’s Republics of Luhansk and Donetsk.
Term means the period starting on the Commencement Date and ending when your Listing is removed from the Directory by us.
10 - General Provisions
10.1 Severability and no waiver. If any part of these Terms is held to be unenforceable by a court of competent authority, all other provisions will not be affected. If we do not exercise any right provided for in these Terms or delay doing so, this does not mean that we waive the right to exercise it in the future.
10.2 Governing law and jurisdictions. These Terms, and all disputes, claims, controversies, disagreements, actions and proceedings arising out of or in connection with them (including any non-contractual disputes or claims) shall be governed by and construed in accordance with English law and all proceedings relating to these Terms shall be submitted to the exclusive jurisdiction of the English courts.
10.3 Third party rights. Nothing in these Terms shall create any right enforceable by any third party and the Contracts (Rights of Third Parties) Act 1999 shall not apply to these Terms.
10.4 Entire agreement. These Terms constitute the entire agreement between you and us in relation to its subject matter, and supersede and extinguish all previous agreements, promises, assurances, warranties, representations and understandings between us, whether written or oral, in relation to that subject matter.
