Pilot Terms –  Barclays Funding Readiness Pilot powered by Capital Enterprise

Thank you for your interest in the Barclays Funding Readiness Pilot (the “Pilot”) powered by Capital Enterprise (the “Partner”).

What are these Terms?

These Terms set out the terms and general principles of your participation in the Pilot (“Terms”). By participating in the Pilot, you (as “Pilot Participant”) are agreeing to the following Terms with Barclays Bank UK PLC (“we”, “us”, “our”) which will stay in place until the end of the Pilot, unless the Pilot is terminated sooner by us or you.

These Pilot Terms are in addition to your Eagle Lab membership terms.

1. The Pilot

1.1. We will assess all applications to participate in the Pilot and notify you by email if you have been selected to participate in one or more of the Funding Readiness programs. Please be aware that as spaces are limited during this Pilot you may not be selected for the program(s). If you are successful, you will be provided with further details of the relevant program(s) including any joining instruction.

1.2. The Partner run the Pilot in conjunction with Barclays and provide you with any materials relevant to your program(s).

1.3. As part of the Pilot we collect your Feedback on the program(s) and your experience of it. We will use this to assess whether and in what form we should provide the program(s) or other services provided by the Partner across the Eagle Labs network.

1.4. Any comments, views or opinions expressed by any Barclays or Partner personnel involved in the Pilot do not necessarily reflect the official opinion of Barclays. Neither Barclays nor any person acting on its behalf may be held responsible for the use made of information, guidance, advice, comments or opinions given during the Pilot.

1.5. Nothing provided by Partner or Barclays during the Pilot should be considered investment advice and you should seek independent advice in this regard.


2. Your rights of Participation in the Pilot 

2.1. You must (i) be over 18 years old; (ii) be based in the UK; (iii) not work for a financial institution; (iv) be a resident of Eagle Labs.

2.2. We won’t charge you for taking part in the Pilot. 


3. Restrictions on your use of Pilot Materials

3.1. You will not use any Pilot Materials (as defined in section 4.3 below) for any unlawful or unauthorised purpose

3.2. You will not copy, modify, distribute or create derivative works of any Pilot Materials. Other than your use of the same in accordance with these Pilot Terms, you will not otherwise use or access Pilot Materials for any commercial purposes.

3.3. We (or the Partner) may withdraw or change any part of the Pilot for any reason at any time.

3.4. You will not provide any personal information relating to another identified or identifiable individual as part of the Pilot. To the extent that you provide your personal data as part of the Pilot, you consent to its use for the purpose of this Pilot. 

3.5. Where these Terms mention:

3.5.1. “Affiliate” we mean any person or entity Controlling, controlled by or under common Control with such party, for the time being;

3.5.2. “Control” we mean the power, direct or indirect, to direct or cause the direction of the management and policies of such entity whether by contract, ownership of shares, membership of the board of directors, agreement or otherwise (and “Controlling” shall have a corresponding meaning); and

3.5.3. “Related Parties” we mean any director, officer, employee, agent, professional adviser (including solicitors, auditors, insurers and accountants) contractor or subcontractor of either party or of any Affiliate of either party.


4. Feedback and Insights

4.1. During the Pilot Barclays and Partner will gather Feedback on (and generate Insights from) your involvement in the program(s) and the Pilot Materials. You agree that we can use your Feedback and Insights to further develop and modify our products and services in future.  

4.2. You agree that you will only use the Pilot Materials and Feedback in connection with your participation in the Pilot.  

4.3. Where these Terms mention:

4.3.1. “Pilot Materials”, we mean the program(s), their content, as well as any other information, data, documents and materials we provide to you during the Pilot;

4.3.2. “Feedback”, we mean your feedback on the Pilot Materials including any ideas, innovations, solutions and improvements for our products and services, which may be gathered in person, in writing or via digital channels; and

4.3.3. “Insights”, we mean information, data and other insights gathered by Barclays or Partner from your use of Pilot Materials and involvement in the program(s).


5. Confidentiality

You must keep this Pilot and any information shared between us and you to yourself and only to use such information for the purposes of this Pilot. This includes the Pilot Materials, your Feedback and Insights, login credentials provided to you (if any) and these Terms. 


6. Intellectual Property Rights

6.1. You agree that all rights, titles and interests in any Intellectual Property Rights in any Feedback or Insights (not including any background Intellectual Property Rights relating to your business) will be owned by, and vest absolutely in, us. You will not provide any Feedback or other material or information to us that is not your own.

6.2. Where these Terms mention “Intellectual Property Rights”, we mean copyright, trade marks, rights in inventions, patents, rights in and to confidential information (including trade secrets and know-how) and all other intellectual property rights, in each case subsisting at any time in any part of the world.


7. Use of your data, cookies and other information

7.1. For details of how we will use your personal data and your rights in relation to this data, please see the attached Privacy Notice.

7.2. You agree to only provide us personal data related to another individual if you have obtained their consent to do so and have provided them with a copy of the attached Privacy Notice.


8. No Warranty

8.1. The program(s) and Pilot Materials are provided “as-is” and no member of the Barclays group makes any warranty, representation, or undertaking, express or implied, as to the program(s) and Pilot Materials or any information or materials provided (in writing or otherwise) in connection with the same, including any implied warranties of merchantability and fitness for a particular purpose.

8.2. None of this Agreement, your participation in the program(s), or any advice given by any member of the Barclays group or Partner shall establish a fiduciary relationship or joint enterprise between you and any member of the Barclays group.


9. Liability 

9.1. Neither party excludes its liability where it is unlawful to do so, for example death or personal injury caused by negligence or fraud. 

9.2. Neither party will be liable to the other party for any indirect or consequential loss or damages (including any indirect loss of business, revenues, goodwill or profits) arising out of or in connection with these Terms, in each case whether arising from tort (including negligence), breach of contract or otherwise.  

9.3. We shall not be responsible to you for any loss suffered by you where you have breached these Terms. For any other loss, other than as set out in paragraphs 9.1 and 9.2. our maximum aggregate liability to you in connection with these Terms will not exceed £100. 

9.4. Other than as set out in paragraphs 9.1 to 9.3, we agree to reimburse you from all direct claims and losses suffered or incurred by you from any third party, arising from you entering into the Pilot, including any claim for infringement of third party Intellectual Property Rights as a result of your use participation in the program(s) or use of Pilot Materials in accordance with these Terms. 

9.5. Save as expressly set out in this paragraph 10 we shall not be liable to you for any losses arising out of your participation in this Pilot.


10. Termination

10.1. We reserve the right to cancel the Pilot or your participation in the Pilot for any reason without prior notice.

10.2. You can stop your participation in the Pilot at any time by giving written notice to us. 

10.3. On termination of the Pilot, you may no longer access or attempt to access the Pilot Materials and will immediately deliver all Pilot Materials to Barclays in whatever medium that are within your control. After this you will destroy or permanently erase any such materials that are within your control (including back-up copies).

10.4. On termination of the Pilot, these Terms shall no longer apply except for paragraphs 3, 4, 5, 6, 7, 8, 9, 10.3 and 11.


11. General Provisions

11.1. Severability and no waiver. If any part of these Terms is held to be unenforceable by a court of competent authority, all other provisions will not be affected. If we do not exercise any right provided for in these Terms or delay doing so, this does not mean that we waive the right to exercise it in the future.  

11.2. Governing law and jurisdictions. These Terms, and all disputes, claims, controversies, disagreements, actions and proceedings arising out of or in connection with it (including any non-contractual disputes or claims) (each, a “Proceeding”) shall be governed by and construed in accordance with English law (and all Proceedings relating to these Terms shall be submitted to the exclusive jurisdiction of the English courts.  

11.3. Third party rights. Nothing in these Terms shall create any right enforceable by any third party and the Contracts (Rights of Third Parties) Act 1999 shall not apply to this Agreement.  

11.4. Notices. Any formal notices relating to these Terms may be sent by regular mail or given by email to and a copy shall be sent by email to: “” with the subject header marked “Attention: CEO, Barclays UK Ventures”. If sent by email, they will be effective when actually received in readable form if it is received not later than 17.00 hours on a business day, or, if it is received later than 17.00 hours on a business day or at any time on a day which is not a business day, at 09.00 hours on the next business day.

11.5. Entire agreement. Other than the existing agreements set out on the first page of these Terms, these Terms constitute the entire agreement between you and us in relation to its subject matter, and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations and understandings between us, whether written or oral, in relation to that subject matter.

Pilot - Privacy Notice


1. Collection and use of your personal data

We will collect the personal data required for participation in the Pilot directly from you or from our Partner. The personal data we collect will include your name, your contact details (such as your address, email, and telephone number), usage data and your social media account details/handles.

2. Use of your personal data and lawful basis of processing

We will use your personal data together with the Feedback and Insight data generated from the Pilot for a variety of purposes as follows:

  • It is in our legitimate interests to improve the service  we provide to you

introducing you to other business contacts who we think might benefit your business

  • Where necessary to carry out our agreement or to take steps to enter into an agreement with you

To address an issue or concerns you have raised

  • Where you have raised an issue or concern, it is in our legitimate interests to address such concerns and respond to you


We will also process your data in an anonymised and aggregated format to allow us to identify general themes and trends in the feedback provided by you and other participants, including by aggregation with other data. 

3. Who we share your personal data with

We will share your personal data with our Partner and our third party platform provider for the purposes of carrying out their role in the Pilot. Other than that, we will not share your personal data with any other third parties other than as permitted do so to comply with our legal and regulatory obligations. 

4. How long we keep your personal data

We will only retain personal data that has been collected by us in connection with the Pilot for 7 months following the end of the Pilot. At this stage we anticipate that the Pilot will be completed by 30th April 2020 although this date is subject to change. We will update you if this changes.

We will keep a copy of the Pilot Materials, Feedback and Insights for as long as this is required to meet our legal and regulatory requirements. Some personal data we have collected (e.g. meeting notes) will be included in these research outputs either alone or in an aggregated form. Pilot Materials, Feedback and Insights will be held by us for longer than 7 months after completion of the Pilot and while there is still a valid purpose for its use in connection with the research. Pilot Materials, Feedback and Insights held by us together with any personal data contained in these materials will be held subject to our privacy policies and security measures.

5. If you change your mind

If you wish to stop participating in the Pilot, or you do not want your personal data to be used, or have other questions about the ongoing use of your personal data, please contact us by email at You will not be able to participate in the Pilot if we are unable to process your personal data.

6. Your rights

Our use of your personal data is subject to safeguards that help make sure that your rights in relation to your personal data are protected.  These include the information given to you about how your personal data will be used and how you can exercise your rights to obtain your personal data, have it corrected, restricted or deleted, object to it being processed, to obtain and reuse your personal data and complain.
